These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and SWEPETY LTD ("we", "us", "our", or the "Company"), governing your access to and use of the website at www.swepety.com (the "Website") and any related software-as-a-service platform, applications, tools, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes, in accordance with these Terms and any applicable subscription plan.
4.2 Prohibited Conduct
You agree not to:
Use the Service for any unlawful, harmful, or fraudulent purpose.
Violate any applicable local, national, or international law or regulation.
Infringe the intellectual property rights, privacy rights, or other rights of any third party.
Upload, transmit, or distribute any malicious code, viruses, or harmful software.
Attempt to gain unauthorised access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
Copy, modify, distribute, sell, lease, or sublicence any part of the Service.
Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our prior written consent.
Interfere with or disrupt the integrity, performance, or availability of the Service.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Use the Service to send unsolicited communications (spam).

5. Subscription Plans & Payments
5.1 Plans and Pricing
The Service may be offered under various subscription plans, including free and paid tiers. Pricing, features, and usage limits are described on our Website and may be updated from time to time. Changes to pricing for existing subscribers will be communicated with at least 30 days' notice.
5.2 Payment Terms
All fees are quoted and payable in the currency specified at the time of purchase.
Payments are processed through third-party payment providers. You agree to their terms of service.
Fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
If you are a business customer in the UK or EU, applicable VAT or other taxes will be added where required.
5.3 Automatic Renewal
Paid subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us.
5.4 Free Trials
If we offer a free trial, you will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including all software, code, design, text, graphics, logos, trademarks, and other materials, is the exclusive property of SWEPETY LTD or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted in these Terms are reserved.
6.2 Your Content
You retain all ownership rights to the data, content, and materials you upload or create through the Service ("Your Content"). By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, and display Your Content solely for the purpose of providing and improving the Service.
6.3 Feedback
If you provide us with suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us an unrestricted, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into the Service without any obligation to you.
7. Data Protection & Privacy
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
Where we process personal data on your behalf (i.e., where you are the data controller and we are the data processor), the terms of our Data Processing Agreement (DPA) shall apply. You may request a copy of our DPA by contacting us at support@swepety.com.
8. Availability & Support
8.1 Service Availability
We endeavour to maintain the Service available 24/7 but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our reasonable control.
8.2 Support
Support is provided in accordance with your subscription plan. We will use commercially reasonable efforts to respond to support requests in a timely manner.
9. Third-Party Services
The Service may integrate with or contain links to third-party services, websites, or applications. We do not control, endorse, or assume any responsibility for such third-party services. Your use of third-party services is subject to their respective terms and privacy policies. We shall not be liable for any loss or damage arising from your use of third-party services.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING CONSUMER PROTECTION LAWS IN THE UK, EU, OR YOUR JURISDICTION.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT SHALL SWEPETY LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (III) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
12. Indemnification
You agree to indemnify, defend, and hold harmless SWEPETY LTD and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Your use of the Service.
Your breach of these Terms.
Your violation of any applicable law or the rights of any third party.
Your Content uploaded to or transmitted through the Service.
13. Termination
13.1 Termination by You
You may terminate your account at any time by contacting us at support@swepety.com or through your account settings. Termination does not entitle you to a refund of any prepaid fees, except where required by applicable law.
13.2 Termination by Us
We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to:
Breach of these Terms.
Non-payment of applicable fees.
Conduct that we determine, in our sole discretion, is harmful to the Service, other users, or third parties.
Extended periods of inactivity.
We will use reasonable efforts to notify you in advance, except where immediate termination is necessary (e.g., for security reasons or legal compliance).
13.3 Effect of Termination
Upon termination:
Your right to access and use the Service will immediately cease.
We may delete your account data after a reasonable retention period (typically 30 days), unless retention is required by law.
Sections that by their nature should survive termination (including Sections 6, 10, 11, 12, 15, and 16) shall continue in full force and effect.
14. Modifications to the Service & Terms
14.1 Changes to the Service
We reserve the right to modify, update, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
14.2 Changes to These Terms
We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on our Website with a revised "Last Updated" date and, where appropriate, by sending you an email notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
15. Governing Law & Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. If you are a consumer in the EU or UK, you will benefit from any mandatory provisions of the law of the country in which you are resident.
15.2 Jurisdiction
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer in the EU or UK, you may also bring proceedings in the courts of your country of residence.
15.3 Online Dispute Resolution
The European Commission provides a platform for Online Dispute Resolution (ODR) at https://ec.europa.eu/consumers/odr/. We are not obligated to and do not participate in dispute settlement proceedings before a consumer arbitration board.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SWEPETY LTD regarding the Service and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
16.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. A waiver of any provision shall only be effective if made in writing and signed by us.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
16.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, power failures, internet disruptions, or other force majeure events.
16.6 No Third-Party Beneficiaries
These Terms do not create any rights for any third party. No person who is not a party to these Terms may enforce any of its provisions under the Contracts (Rights of Third Parties) Act 1999 or otherwise.
